Terms of Service
Please read these terms carefully before engaging Sparkix Technologies for AI development, enterprise software, or consulting services.

Introduction
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Sparkix Technologies ("Sparkix," "we," "us," or "our"), governing your access to and use of our website, AI development services, enterprise software solutions, and related consulting services.
By accessing our website, engaging our services, or entering into a service agreement, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or organization, you represent that you have the authority to bind such entity.
1. Description of Services
Sparkix Technologies is a distinguished provider of enterprise-grade AI solutions and software engineering services. Our offerings include, but are not limited to:
- AI & Automation Solutions: Custom AI model development, machine learning integration, intelligent automation, and AI-powered analytics platforms
- Enterprise Software Development: Scalable, secure, and production-ready software systems tailored to business requirements
- SaaS Platform Development: End-to-end SaaS product development from MVP to enterprise scale
- Web & Mobile Engineering: Modern web applications, responsive interfaces, and cross-platform mobile solutions
- UI/UX Design: User-centric design services focused on creating intuitive AI-powered experiences
- IT Consultancy: Strategic technology advisory, architecture planning, and digital transformation guidance
Specific deliverables, timelines, and scope for each engagement are defined in individual Statements of Work (SOW) or Service Agreements, which form part of these Terms.
2. Acceptance & Modifications
By accessing or using any Sparkix Technologies service, you agree to these Terms. We reserve the right to modify these Terms at any time. Material changes will be communicated via email or website notice at least 30 days before taking effect. Continued use of our services after modifications constitutes acceptance of the updated Terms.
For enterprise clients with active service agreements, any conflicting terms in signed contracts shall prevail over these general Terms to the extent of the conflict.
3. Client Responsibilities
As a client of Sparkix Technologies, you agree to:
3.1 General Obligations
- Provide accurate, complete, and timely information necessary for project execution
- Designate authorized representatives with decision-making authority for project matters
- Respond to requests for feedback, approvals, or clarifications within reasonable timeframes
- Comply with all applicable laws and regulations in your use of our services and deliverables
3.2 Data & Security Responsibilities
- Ensure you have the legal right to provide any data, content, or materials shared with Sparkix
- Maintain secure credentials and access controls for any systems or platforms we provide
- Promptly notify us of any security incidents, unauthorized access, or credential compromises
- Obtain necessary consents for any personal data shared with us for AI training or processing
3.3 Prohibited Conduct
- Use our services or deliverables for any illegal, harmful, or unauthorized purpose
- Attempt to reverse-engineer, decompile, or extract source code from our proprietary systems
- Circumvent, disable, or interfere with security features of our platforms
- Transmit malware, viruses, or other malicious code through any systems or deliverables
- Misrepresent AI-generated outputs as human-created content where such disclosure is required
4. Intellectual Property Rights
4.1 Sparkix Intellectual Property
All pre-existing intellectual property of Sparkix Technologies, including but not limited to proprietary frameworks, tools, methodologies, AI models, code libraries, and branding, remains the exclusive property of Sparkix. These materials are protected by copyright, trademark, trade secret, and other intellectual property laws.
4.2 Client Deliverables
Unless otherwise specified in a signed Service Agreement or Statement of Work:
- Custom code, designs, and content created specifically for your project are assigned to you upon full payment
- Sparkix retains the right to use anonymized learnings, non-proprietary components, and general techniques for future projects
- Third-party components, libraries, and open-source software remain subject to their respective licenses
4.3 AI-Generated Content
Ownership and usage rights for AI-generated content, models, and outputs are determined by the specific service agreement. Clients should consult with legal counsel regarding intellectual property implications of AI-generated materials in their jurisdiction.
5. Payment Terms
Payment terms for Sparkix Technologies services are as follows:
- Pricing: All fees are specified in individual proposals, quotes, or Service Agreements. Pricing may be fixed-fee, time-and-materials, or milestone-based depending on project scope.
- Payment Schedule: Payment milestones and due dates are defined in each Service Agreement. Typical structures include upfront deposits followed by milestone-based payments.
- Late Payments: Overdue invoices may incur interest at 1.5% per month. Sparkix reserves the right to suspend work on projects with outstanding balances exceeding 30 days.
- Taxes: Quoted fees are exclusive of applicable taxes unless otherwise stated. Clients are responsible for all applicable sales, use, VAT, or other taxes.
- Refunds: Refund policies are governed by individual Service Agreements. Generally, fees for completed milestones and work performed are non-refundable.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement. Confidential information includes, but is not limited to:
- Business strategies, technical specifications, and project requirements
- Source code, algorithms, and system architectures
- Financial information, pricing structures, and contractual terms
- Customer data, user information, and proprietary datasets
This confidentiality obligation survives termination of services and remains in effect for five (5) years or as otherwise specified in a separate Non-Disclosure Agreement (NDA).
7. AI & Automation Services Terms
Given the specialized nature of AI development, the following additional terms apply to our AI and automation services:
7.1 AI Model Performance
- AI systems are probabilistic in nature; we do not guarantee 100% accuracy in model predictions or outputs
- Model performance metrics and acceptance criteria are defined collaboratively during project scoping
- Continuous improvement and model retraining may be required as real-world data patterns evolve
7.2 Training Data
- Clients are responsible for ensuring training data is accurate, properly licensed, and compliant with applicable laws
- Data quality directly impacts AI model performance; we advise on data requirements but do not guarantee outcomes from suboptimal data
7.3 Ethical AI Usage
- Clients agree to use AI solutions ethically and in compliance with all applicable regulations
- We reserve the right to decline projects involving deceptive AI, discriminatory systems, or applications causing harm
- Clients must provide appropriate disclosures when AI-generated content is presented to end users
8. Warranties & Disclaimers
8.1 Our Warranties
Sparkix Technologies warrants that:
- Services will be performed in a professional and workmanlike manner consistent with industry standards
- Deliverables will materially conform to the specifications outlined in the applicable Service Agreement
- We have the right to provide the services and grant any licenses specified in our agreements
8.2 Disclaimers
EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR A SIGNED SERVICE AGREEMENT, SPARKIX TECHNOLOGIES PROVIDES SERVICES AND DELIVERABLES "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE EXPRESSLY DISCLAIM:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that services will be uninterrupted, error-free, or completely secure
- Warranties regarding third-party services, APIs, or platforms integrated into deliverables
- Any guarantee of specific business outcomes, revenue increases, or ROI from AI implementations
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Exclusion of Consequential Damages: Neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, regardless of the cause of action.
- Cap on Liability: Sparkix's total aggregate liability under these Terms shall not exceed the fees paid by Client for the specific services giving rise to the claim in the twelve (12) months preceding the claim.
- Exceptions: These limitations do not apply to (a) breaches of confidentiality obligations, (b) intellectual property infringement, (c) gross negligence or willful misconduct, or (d) indemnification obligations.
10. Indemnification
You agree to indemnify, defend, and hold harmless Sparkix Technologies and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your breach of these Terms or any Service Agreement
- Your violation of any applicable law or third-party rights
- Your use of deliverables or AI outputs in a manner not authorized by our agreements
- Claims related to data you provided that infringes third-party intellectual property or privacy rights
11. Term & Termination
The term and termination provisions for specific engagements are governed by individual Service Agreements. Generally:
- Termination for Convenience: Either party may terminate with 30 days written notice, subject to payment for work completed
- Termination for Cause: Either party may terminate immediately if the other party materially breaches and fails to cure within 15 days of notice
- Effect of Termination: Upon termination, Client shall pay for all services rendered; Sparkix shall deliver completed work product and transition materials as specified in the Service Agreement
12. Dispute Resolution
Any disputes arising under these Terms shall be resolved as follows:
- Negotiation: The parties shall first attempt to resolve disputes through good-faith negotiations
- Mediation: If negotiation fails, disputes shall be submitted to non-binding mediation before a mutually agreed mediator
- Arbitration: Unresolved disputes shall be settled by binding arbitration in accordance with applicable commercial arbitration rules
- Governing Law: These Terms shall be governed by the laws of the jurisdiction specified in the Service Agreement, without regard to conflict of law principles
13. General Provisions
- Entire Agreement: These Terms, together with applicable Service Agreements, constitute the entire agreement between the parties
- Severability: If any provision is found unenforceable, the remaining provisions remain in full force
- Waiver: Failure to enforce any right does not constitute a waiver of that right
- Assignment: Neither party may assign these Terms without prior written consent, except to an affiliate or successor in a merger or acquisition
- Force Majeure: Neither party shall be liable for delays caused by circumstances beyond reasonable control
- Notices: Official notices shall be sent in writing to the addresses specified in Service Agreements
